Terms of Service

By accessing or using Penlio's website, applications, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Penlio. We may update these Terms from time to time, and your continued use of the Service after such changes constitutes acceptance of the updated Terms.

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

Penlio is a LinkedIn content creation and management platform that provides the following services:

AI Content Generation: Using artificial intelligence and large language models, Penlio generates LinkedIn post content based on your input, preferences, and learned writing voice.

Voice Learning: Penlio analyzes reference posts you provide to learn your unique writing style, tone, and formatting preferences, enabling more authentic AI-generated content.

Post Scheduling: Penlio allows you to schedule LinkedIn posts for future publication through LinkedIn's official API.

Analytics: Penlio provides analytics and insights about your LinkedIn content performance (available on select plans).

Content Tools: Additional tools including hook generation, idea generation, content repurposing, and text formatting.

The Service interacts with LinkedIn through LinkedIn's official API. You must authenticate your LinkedIn account via OAuth 2.0 to use the Service's publishing and analytics features.

Account Creation: To use the Service, you must create an account by authenticating with your LinkedIn profile via OAuth 2.0. You agree to provide accurate and complete information and to keep your account information updated.

Account Security: You are responsible for maintaining the security of your account and for all activities that occur under your account. You must notify us immediately at legal@penlio.com if you become aware of any unauthorized use of your account.

One Account Per User: Each user may maintain only one Penlio account. Creating multiple accounts to circumvent usage limits or other restrictions is prohibited.

Account Termination by User: You may delete your account at any time through your account settings. Upon deletion, your data will be removed in accordance with our Privacy Policy.

Free Plan: Penlio offers a free plan with limited features. No credit card is required for the free plan.

Paid Plans: Penlio offers paid subscription plans (Starter and Pro) with enhanced features and usage limits. Pricing for paid plans is displayed on our pricing page and may be updated from time to time.

Billing Cycle: Paid subscriptions are billed monthly or annually, depending on the plan you select. Payments are processed through Stripe.

Cancellation: You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds are provided for partial billing periods.

No Credit System: Penlio does not use a credit or token system. All paid plans include unlimited AI content generation within the scope of the subscribed plan.

Price Changes: We reserve the right to modify our pricing. If we change the price of your current plan, we will provide you with at least 30 days' notice before the change takes effect. You may cancel before the new pricing applies.

Failed Payments: If a payment fails, we will attempt to charge your payment method again. If payment cannot be collected after reasonable attempts, your account may be downgraded to the free plan.

Your Content: You retain full ownership of all content you create, provide, or upload to the Service, including reference posts, drafts, and any text you write within the platform.

License to Penlio: By providing content to the Service, you grant Penlio a limited, non-exclusive, worldwide license to use, process, and store your content solely for the purpose of providing and improving the Service. This includes processing your reference posts through AI/LLM providers for voice learning.

Responsibility: You are solely responsible for the content you create, schedule, and publish through the Service. You must ensure that your content complies with LinkedIn's terms of service, community guidelines, and all applicable laws and regulations.

Reference Posts: You represent that you have the right to provide any reference posts you submit for voice learning. Do not submit content created by others without their permission.

Ownership: Content generated by Penlio's AI features belongs to you. You may use, modify, publish, or distribute AI-generated content as you see fit.

No Guarantee of Accuracy: AI-generated content is created by machine learning models and may contain inaccuracies, errors, or content that does not reflect your views. You are responsible for reviewing and editing all AI-generated content before publishing.

No Guarantee of Uniqueness: While our voice learning technology aims to create unique content tailored to your style, we cannot guarantee that AI-generated content will be entirely unique or will not resemble content generated for other users or content that exists elsewhere.

Human Review Required: Penlio is a tool to assist your content creation, not a replacement for human judgment. You should always review AI-generated content before publishing it to your LinkedIn profile.

AI Limitations: AI technology is evolving. The quality, style, and accuracy of generated content may vary. We continuously work to improve our AI capabilities but make no guarantees about specific output quality.

You agree not to use the Service to:

• Generate or distribute spam, misleading, or deceptive content
• Violate LinkedIn's terms of service or community guidelines
• Impersonate another person or entity
• Generate content that is hateful, discriminatory, harassing, or threatening
• Attempt to reverse-engineer, decompile, or extract our AI models or algorithms
• Use automated tools or bots to access the Service beyond normal use
• Share your account credentials with others or allow others to access your account
• Circumvent any usage limits, access controls, or security measures
• Use the Service for any illegal purpose or in violation of any applicable law
• Resell, redistribute, or sublicense the Service without our written permission
• Attempt to scrape, collect, or harvest data from the Service

We reserve the right to suspend or terminate accounts that violate these prohibited uses, with or without notice.

Penlio's IP: The Service, including its software, design, features, documentation, and branding, is owned by Penlio and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our written permission.

Trademarks: "Penlio" and our logo are trademarks of Penlio. You may not use our trademarks without our prior written consent, except as necessary to refer to our Service in a factual manner.

Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant Penlio a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to you.

As-Is Service: The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

No Guarantee of Results: We do not guarantee that the Service will increase your LinkedIn engagement, followers, impressions, or any other metrics. Results depend on many factors outside our control.

LinkedIn API Dependency: The Service depends on LinkedIn's API. Changes to LinkedIn's API, terms, or policies may affect the availability or functionality of certain features. We are not responsible for any changes LinkedIn makes that impact the Service.

Limitation of Liability: To the maximum extent permitted by law, Penlio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

Maximum Liability: Our total liability to you for any claims arising from or related to the Service shall not exceed the total amount you paid to Penlio in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Penlio, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in connection with:

• Your use of the Service
• Content you create, publish, or distribute through the Service
• Your violation of these Terms
• Your violation of any third-party rights, including LinkedIn's terms of service
• Any claim that content you provided to or generated through the Service caused damage to a third party

By You: You may terminate your account and stop using the Service at any time by deleting your account through your account settings or contacting us at legal@penlio.com.

By Penlio: We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, non-payment, or conduct that we determine is harmful to other users or the Service.

Effect of Termination: Upon termination, your right to use the Service will immediately cease. We will delete your data in accordance with our Privacy Policy. Any provisions of these Terms that by their nature should survive termination will continue to apply, including sections on intellectual property, limitation of liability, and indemnification.

No Refunds Upon Termination: If your account is terminated for violation of these Terms, no refund will be provided for any remaining subscription period.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Penlio is incorporated, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the relevant arbitration authority in our jurisdiction.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Penlio regarding your use of the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. Penlio may assign its rights and obligations under these Terms without restriction.

Force Majeure: Penlio shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, labor disputes, government actions, or internet or infrastructure failures.
